A team, an inprint

An idea of the future becomes a new story.

Leaving an imprint of oneself has always been in human nature. When we began, in 2014, we had a clear plan: to integrate different skills and experiences, focusing them on specific areas of activity, thus creating a true partnership firm; to put the Firm at the center of the project, bringing all the professionals who would be part of it to feel it as their own and to value it; to make the Firm bigger than the professionals who comprise it up and destined to outlive them. This was our idea of imprint, which among other things required the Firm to have its own name, independent of that of its partners.

In a short time, we became Fivelex for everyone, thanks in part to the contribution of our logo in the shape of a 5, which included a column with the last names of the founders, later removed from the Firm's logo.

When we launched the Firm, all this was an idea of the future. Today we areFivers, a firm made up of a hundred professionals, in a growth path, with the Rome office joining the Milan office, and with the knowledge that we have defined our own imprint.

FIVERS ha assistito BNP Paribas REIM per tutti gli aspetti fiscali legati all’acquisizione, per conto del Fondo EIPF (“European Impact Property Fund”), del complesso immobiliare a destinazione turistico-ricettiva denominato "Plus Florence", situato nel centro storico di Firenze.

FIVERS è intervenuto in tutte le fasi dell’operazione – dalla due diligence alla strutturazione e negoziazione degli aspetti fiscali con la parte cedente – con un team guidato da Francesco Mantegazza, managing partner, e composto da Edoardo Bassi, counsel, Silvia CastiglioniCosimo Lamanna e Sofia Masotti, junior associates.

Nell’articolo pubblicato oggi su Diritto BancarioFrancesco Mantegazza e Fabio Oneglia, entrambi managing partner di FIVERS, analizzano la Risoluzione n. 7 del 12 febbraio 2026 dell’Agenzia dell’Entrate, che ha confermato la detraibilità dell’IVA assolta in relazione ai costi di transazione (o transaction costs quali, tipicamente, costi di consulenza, strutturazione e due diligence) sostenuti da società veicolo (“SPV”) nell’ambito delle operazioni di acquisizione con indebitamento e successiva fusione con la società target, ai sensi dell’art. 2501-bis del codice vivile (operazioni di merger leveraged buy-out o “MLBO”).
